Acceptable Use Policy
1. About this policy
1.1.
This Acceptable Use Policy (AUP) sets out the rules that apply to everyone who accesses or uses Setyl’s IT asset management platform and related services (the Services), provided by Setyl Ltd (Setyl, we, us or our).
1.2.
This AUP forms part of, and is incorporated into, the agreement under which you receive the Services (whether the Master Software License Agreement or another agreement between us) (the Agreement). Words defined in the Agreement have the same meaning here. If there is any conflict between this AUP and the Agreement on the subject of acceptable use, this AUP prevails.
1.3.
We may update this AUP from time to time. Where a change is material, we will give reasonable notice (for example, by email or in-product notice). The version in force is published at setyl.com/legal.
1.4.
If you are a customer, you are responsible for ensuring that all of your users, and anyone who accesses the Services through your account, comply with this AUP.
2. Acceptable use
2.1.
You may use the Services only for your lawful internal business purposes, in accordance with the Agreement, this AUP, the Documents, and all applicable laws.
3. Prohibited use
3.1.
You must not use the Services, and must not permit anyone else to use the Services, to:
General and legal
3.1.1.
break any applicable law or regulation, or infringe anyone else’s rights (including Intellectual Property Rights or privacy rights);
3.1.2.
store, transmit or make available any material that is unlawful, defamatory, obscene, harassing, discriminatory, or otherwise objectionable;
3.1.3.
facilitate fraud, money laundering, or any other criminal activity;
Security
3.1.4.
gain or attempt to gain unauthorised access to the Services, our systems, or any account, network, data or system connected to them;
3.1.5.
probe, scan, or test the vulnerability of the Services or our systems except as expressly permitted by our Vulnerability Disclosure Policy;
3.1.6.
circumvent, disable or interfere with any security, authentication, rate-limiting or access-control feature of the Services;
3.1.7.
introduce or transmit any Virus, malware, or other harmful code, or any Vulnerability, into the Services or our systems;
Integrity and availability
3.1.8.
take any action that imposes an unreasonable or disproportionate load on our infrastructure, or that interferes with the proper working of the Services or another customer’s use of them (including denial-of-service activity);
3.1.9.
access or use the Services to build, train or benchmark a competing product or service, or copy any features, functions or graphics of the Services;
3.1.10.
decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of the Services, except to the extent this restriction is prohibited by law;
3.1.11.
resell, sublicense, rent, lease, or provide the Services to any third party as a service bureau, except as expressly permitted in the Agreement;
Data and content
3.1.12.
upload or process any personal data that you do not have a lawful basis to process, or any special category personal data except where strictly necessary and lawful;
3.1.13.
use the Services to send unsolicited or unlawful communications (spam); or
3.1.14.
misrepresent your identity or affiliation, or use another user’s credentials without authorisation.
4. Your responsibilities
4.1.
You are responsible for: (a) all activity that occurs under your account; (b) maintaining the confidentiality and security of your login credentials; (c) configuring roles and permissions appropriately for your users; and (d) the accuracy and lawfulness of the Customer Data you input into the Services.
4.2.
You must notify us promptly at hello@setyl.com if you become aware of any actual or suspected breach of this AUP, any unauthorised access to the Services, or any security Incident affecting the Services.
5. Monitoring and enforcement
5.1.
We do not routinely monitor the content that customers process in the Services, and we are not responsible for that content. We may, however, investigate suspected breaches of this AUP, and may access account information and Customer Data to the extent reasonably necessary to do so, subject to the Master Data Processing Agreement and applicable law.
5.2.
If we reasonably believe that your use of the Services breaches this AUP, or poses a security, legal, or operational risk to us, the Services, or other customers, we may:
5.2.1.
request that you remedy the breach;
5.2.2.
suspend or restrict access to the affected part of the Services; or
5.2.3.
in the case of a serious or repeated breach, suspend or terminate the Services in accordance with the Agreement.
5.3.
Where practicable and lawful, we will give you prior notice of any suspension and an opportunity to remedy the breach. Where the risk is urgent (for example, an active security threat or unlawful content), we may act first and notify you as soon as reasonably practicable afterwards.
5.4.
Suspension under this AUP does not relieve you of your obligation to pay the Fees, except where the suspension results solely from our own fault.
